INNOVATION SESSION
Online Trade Pre-Clearance Automation

Trade clearance historically has been a manual and often lengthy process that may have required several calls and emails between compliance, legal, and E*TRADE representatives for approval. Meanwhile, clearing trades for some of your top executives can be an up-to-the-minute, high-demand process in which time is of the essence. To help streamline this process, reduce risk, and increase speed and communication, we designed and launched a groundbreaking new online pre-clearance automation solution. Now, through a few simple online steps, the stock plan administration team can set up clearance online, and participants can receive email alerts and see trading windows open in their E*TRADE account. Join us in this session to see the powerful new process in action.

Science and Mother Nature as a Guidepost for Compensation Setting

A recent academic study calculated the exact amount of wind drag in every position of a traditional cycling Peloton. Geese fly in a V formation, and fish swim in schools to help with dynamics and efficiency. What does this have to do with LTI and compensation setting? Can the resistance as calculated by science be extrapolated to your total rewards? Learn more about how this new academic study can be leveraged across traditional organizational hierarchies and as a validation for your rewards process. Should the scientific data be inclusive of base pay, STI, LTI, or the full rewards equation? Learn more about this innovative new study with the researchers.

EPS: Back to the Basics and Dilutives of Equity Plan Impact to Shareholders

Earnings per share (EPS) is one of the most significant pieces of information a public company has to track and disclose on a regular basis, and a company’s equity grants can have a big impact on how those numbers are reported. There are very specific requirements on how this grant impact is to be reported, but the causes of certain changes to those numbers are often a mystery. This session aims to break down the concepts of EPS, both basic and dilutive, along with the patterns that certain changes in the marketplace or within an equity plan can have on these numbers over time. This course is designed for someone who is new to equity reporting or who wants to gain a clearer understanding of how equity grants impact a company EPS disclosure.

Over the past few years, there has been a considerable increase in jurisdictions that impose taxes on individuals that spend time (regardless of length) working within that jurisdiction. As a result, mobility tracking has been a tremendous source of stress and headache for even the most experienced stock plan administration teams. In response to client demand, Equity Edge Online® (EEO) offers robust functionality to address your mobility tracking needs. This session provides a comprehensive overview of the tools available within EEO.

Don’t Discount a Match: Thoughts on Matching Share ESPPs

Are you attracting, retaining, and motivating your employees through the benefits of share ownership? It is widely known that an employee stock purchase plan (ESPP) can be a valuable component of a company’s benefits offering. The predominant practice is to offer a plan that qualifies for preferential tax treatment under IRS section 423, but is that the right plan type for your company? Nonqualified ESPPs offer many of the same benefits with more flexibility and fewer administrative requirements. With companies using equity compensation to retain and motivate talent, a matching shares program can be a compelling ESPP design. Hear from our panelists about how employees benefit from nonqualified ESPP programs, including plans that offer a share match in lieu of a discount.

You can also create a tax collection record to compute how much of the applicable RE taxes are due at an RE event and then collect those taxes as shares that are withheld from a future release. Further, we will review how you can update financial reporting to automate expense to the RE date and automatically remove RE grants from the Weighted Awards Outstanding (WAO) report upon an RE event.

The Twists and Turns of Termination

Most terminations are straightforward, right? You enter them, or better yet, import them into Equity Edge Online® (EEO), and the terminated employee cancels the grants they should cancel and leaves any options outstanding for the requisite three months. But what about the corner cases? Late-reported terminations can throw a wrench into everything from expense reporting to your roll-forward to possibly having to bust an exercise . Retirements and retirement eligibility pose other challenges, also impacting expense and causing tax collection headaches. Executive terminations that involve accelerations or extensions of time to exercise may also involve accounting calculations and entering those changes into the system in a way that gets the vesting and expense right. CICs and RIFs can bring an entirely different set of challenges. This expert panel will walk through examples of each twist and turn in your terminations, explore the correct impact, and show off the features of EEO that allow you to handle these troubling terms with grace and ease.

Can the resistance as calculated by science be extrapolated to your total rewards? REPORTING
